ESOP Trustee Services

O’Dell Valuation Consulting, LLC provides services as a transaction trustee for companies electing to become employee-owned as an exit strategy for existing shareholders. The transaction trustee represents the ESOP trust to be formed that will buy the company stock- the buyer side. The company will engage lawyers and/or consultants who represent the selling shareholders and who structure the transaction. The trustee hires a valuation analyst who performs a valuation of the company to determine the selling price. The trustee reviews the valuation in consultation with the sellers and accepts the value on behalf of the ESOP trust.  The lawyers prepare the documents, which are reviewed by the trustee and trustee’s counsel.
